Terms of Service

1. Who May Use the Services

You must be at least 18 years of age, or the age of legal majority in Your jurisdiction. If using the Services on behalf of a legal entity, You represent that You have authority to bind that entity. We reserve the right to refuse access to any person or entity at Our sole discretion.

2. Account Registration

To access the platform, You must register for an account. You agree to:

• Provide accurate, current, and complete registration information
• Maintain the security of Your credentials and notify Us immediately of any unauthorised use
• Accept responsibility for all activities under Your account
• Not share credentials with persons who are not authorised Users under Your Subscription

3. Acceptable Use Policy

You agree not to use the Services to:

• Violate any applicable local, national, or international law or regulation
• Transmit unlawful, harmful, threatening, abusive, defamatory, or obscene content
• Impersonate any person or entity, or misrepresent Your affiliation
• Introduce malware, viruses, ransomware, or other harmful code
• Attempt to gain unauthorised access to any part of the Services or any other user's data
• Send spam, unsolicited marketing, or bulk communications
• Scrape or harvest data from the platform in an automated manner
• Perform security testing or penetration testing without prior written consent
• Use the Services in violation of applicable export control or sanctions laws

4. Subscriptions and Payments

Access to the Bizora ERP platform requires a paid subscription. Billing is processed exclusively through Paddle.com, Our Merchant of Record. By subscribing, You also agree to Paddle's terms at paddle.com.

• Subscription fees are non-refundable except as required by applicable law
• We may change pricing with 30 days' notice before your next billing cycle
• Failure to pay may result in suspension or termination of access

5. Intellectual Property

The Services, including all software, content, trademarks, logos, and documentation, are owned by Bizora Technologies (Pvt) Ltd and protected by intellectual property laws. You are granted a limited licence to use the Services as described in the EULA.

You retain ownership of all data You input into the platform. We do not claim ownership of Your business data.

6. Privacy

Our collection and use of personal data is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Services, You consent to such processing and warrant that all data You provide is accurate.

7. Service Availability and Support

We will use commercially reasonable efforts to make the platform available 24/7, subject to scheduled maintenance and force majeure events. Specific uptime commitments are defined in our Service Level Agreement (SLA).

Support is provided per Your plan: community forum (Starter), help desk ticket system (Professional), 24/7 email and phone (Enterprise).

8. Termination

You may terminate Your account at any time through account settings. We may suspend or terminate Your access for:

• Material breach of these Terms (with 14-day cure period where applicable)
• Non-payment of subscription fees
• Violation of export controls or sanctions laws
• If required by law or court order

Upon termination, You may export Your data for up to 30 days, after which it may be permanently deleted.

9. Limitation of Liability

Some jurisdictions do not allow exclusion of implied warranties or limitation of incidental damages — in such cases, the above limitations apply only to the fullest extent permitted by law.

10. Dispute Resolution and Governing Law

These Terms shall be governed by the laws of Pakistan (Companies Act 2017, Contract Act 1872). For international disputes, the parties agree to attempt good-faith negotiation for 30 days before commencing binding arbitration under the ICC International Court of Arbitration Rules, seated in Karachi, Pakistan.

Nothing prevents either party from seeking emergency injunctive relief from a court of competent jurisdiction.

11. Changes to Terms

We may update these Terms from time to time. Updated versions will be posted at www.bizoraerp.com/terms with at least 30 days' notice before taking effect for material changes. Continued use after the effective date constitutes acceptance.
