End User License Agreement (EULA)

1. Definitions

• "Software": The Bizora ERP cloud-based ERP application, including all features, modules, APIs, updates, and documentation.
• "Subscription": A time-limited, paid licence to access the Software under one of the available plans (Starter, Professional, or Enterprise).
• "User": Any individual authorised by the Licensee to access the Software within the Licensee's Tenant.
• "Tenant": The isolated multi-tenant data environment associated with the Licensee's Subscription.
• "Customer Data": All data uploaded to or generated within the Software by the Licensee or its Users.
• "Licensor IP": All proprietary software code, algorithms, branding, and intellectual property belonging to Bizora Technologies (Pvt) Ltd.
• "Feedback": Any suggestions, ideas, enhancement requests, or error reports provided by Licensee to Licensor.

2. Grant of Licence

Subject to compliance with this Agreement and timely payment of Subscription fees, the Licensor grants You a limited, non-exclusive, non-transferable, non-sublicensable, revocable licence to access and use the Software via a supported web browser during the Subscription term, solely for Your own internal business operations, within the user limits of Your plan.

3. Licence Restrictions

You shall not, and shall ensure Your Users do not:

• Copy, reproduce, distribute, resell, rent, lease, or sublicence the Software or any part thereof
• Reverse engineer, decompile, disassemble, or attempt to derive the source code of the Software
• Modify, adapt, or create derivative works based on the Software
• Use the Software to provide bureau services or SaaS resale to third parties without prior written consent
• Remove or alter any proprietary notices, trademarks, or labels
• Use automated scripts, bots, or crawlers to access or extract data
• Circumvent plan limits, access controls, or security measures
• Use the Software in any jurisdiction where such use is prohibited by applicable law or sanctions

4. Subscription Plans and Fees

• All prices are in USD. Billing is processed exclusively through Paddle.com (Merchant of Record).
• Annual subscriptions are discounted 20% versus the monthly equivalent.
• Subscription fees are non-refundable except as required by applicable law.

5. Intellectual Property

The Software and all Licensor IP remain the exclusive property of Bizora Technologies (Pvt) Ltd. Nothing in this Agreement transfers any ownership to You. You retain full ownership of Customer Data.

You grant the Licensor a limited, worldwide, royalty-free licence to host and process Customer Data solely to deliver the Services.

Feedback

Any Feedback You provide is on a non-confidential basis. You grant the Licensor a perpetual, irrevocable, royalty-free, worldwide licence to use, reproduce, modify, and incorporate Feedback into the Software without any obligation to You.

6. Beta and Preview Features

The Licensor may make beta or preview features available for testing. Such features are provided 'as is', without warranties of any kind, may be discontinued at any time, and are excluded from uptime and SLA commitments. Use of beta features is entirely at Licensee's own risk.

7. EU Consumer Right of Withdrawal

If You wish to exercise the right of withdrawal before the service begins, contact legal@bizoraerp.com.

8. Data and Privacy

Customer Data is processed in accordance with the Bizora ERP Privacy Policy and, where applicable, a Data Processing Agreement (DPA) available upon request at legal@bizoraerp.com. Licensee warrants it has all necessary consents and legal bases to share Customer Data with Licensor.

9. Confidentiality

Each party agrees to hold confidential any non-public information received from the other party that is marked confidential or that a reasonable person would consider confidential, and to use it only for the purposes of this Agreement. This obligation survives termination for three (3) years.

11. Export Controls and Sanctions Compliance

You represent and warrant that: (a) You are not located in, and are not a national or resident of, any country subject to comprehensive trade sanctions; (b) You are not on any list of prohibited or restricted parties; and (c) You will not access or use the Software in violation of any applicable export control or economic sanctions laws.

The Licensor reserves the right to terminate this Agreement immediately and without refund if You are found to be in violation of this clause.

12. Term and Termination

This Agreement is effective from the date You first access the Software and continues until Your Subscription expires or is terminated. You may terminate at any time through Your account settings.

The Licensor may suspend or terminate Your access immediately for material breach, non-payment, violation of export controls, or if required by law. Upon termination, You may export Customer Data for up to 30 days, after which the Licensor may permanently delete it.

15. Force Majeure

Neither party shall be liable for any failure or delay in performance caused by circumstances beyond its reasonable control, including but not limited to: acts of God, natural disasters, pandemics, government actions, war, civil unrest, terrorism, strikes, internet outages, or power failures.

If a force majeure event continues for more than 60 consecutive days, either party may terminate this Agreement without penalty.

16. Governing Law and Dispute Resolution

This Agreement shall be governed by and construed in accordance with the laws of Pakistan (Companies Act 2017, Contract Act 1872). Unresolved disputes shall be submitted to binding arbitration under the ICC International Court of Arbitration Rules, seated in Karachi, Pakistan, conducted in English. The arbitration award shall be final and binding.

17. General Provisions

• Entire Agreement: This Agreement together with the ToS, Privacy Policy, and SLA constitutes the entire agreement regarding the Software.
• Severability: If any provision is found unenforceable, the remaining provisions remain in full force.
• Waiver: Failure to enforce any provision shall not constitute a waiver of future enforcement.
• Assignment: You may not assign Your rights without prior written consent.
• Amendments: Updated versions will be posted at the website with 30 days' notice.
• Notices: Legal notices shall be sent to legal@bizoraerp.com.
• Language: This Agreement is drawn up in English. In the event of any inconsistency between translated versions, the English version shall prevail.
